Description of the event:

Jadwa Investment announces that Jadwa REIT Saudi Fund (the "Fund") has invested an amount of 450 million Saudi riyals in a closed-ended Shariah-compliant private real estate investment fund (the "Private Fund") which is managed by Jadwa Investment (the "Fund Manager"). The Private Fund’s investment objectives are to provide investors with a stable stream of income in addition to capital appreciation in the medium to long term through acquiring income-generating real estate assets in the Kingdom of Saudi Arabia.

Due to the Private Fund being managed by the Fund Manager, and stemming from the responsibility to follow the governance standards to ensure achieving transparency and protect the interests of investors, and to avoid conflicts of interest, the members representing the Fund Manager in the Fund board abstained from voting on the Fund Manager’s recommendation to invest in The Private Fund.

The Impact Caused by the Event:

The financial impact of the investment is expected to be positive and will be reflected in the Fund’s results during the first quarter of 2021. Due to the Private Fund being in the offering period, further details regarding the Private Fund's investments will be announced after the closing of the offering period.
